OZYRA TERMS OF SERVICE

The terms that govern use of Ozyra, subscriptions, user content, third-party providers, and liability.

Last Updated

1. What these terms cover

These Terms govern your use of Ozyra's website, applications, and related services (the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree, do not use the Services.

2. Eligibility and accounts

  • You must be at least 13. If the law where you live requires a higher age or parent/guardian consent for online services or personal data processing, you may use the Services only if those requirements are met.
  • You may use certain features without an account; premium and sync features require sign-in via supported authentication providers such as Google OAuth.
  • You are responsible for safeguarding your account and for all activity under it. Notify us immediately of unauthorized use.

3. Services and subscriptions

  • We offer free and paid tiers. Some models and features, including notebooks, document indexing, image generation, web search, council mode, advanced routing, sync, or higher quotas, may be premium-only or usage-limited.
  • Subscriptions are billed on a recurring basis through Stripe. Pricing and available plans may change; we will provide notice of material changes.
  • You can cancel renewals in your account settings; cancellations take effect at the end of the current billing period.
  • Refunds are evaluated case-by-case and provided where required by applicable law. Access may be limited, suspended, or downgraded if payment fails, abuse is detected, or a plan expires.

4. Acceptable use

Do not, and do not allow others to:

  • Copy, modify, reverse engineer, or create derivative works of the Services.
  • Bypass security, rate limits, or usage controls.
  • Interfere with or disrupt the Services or related networks.
  • Scrape or harvest data, except as permitted by our APIs or documentation.
  • Upload malware or harmful code.
  • Submit confidential, regulated, or highly sensitive data unless you understand the third-party provider routing and accept the associated risks.
  • Use generated content to mislead others, violate intellectual property rights, invade privacy, impersonate people, or make unlawful automated decisions.
  • Use the Services for unlawful activity, harassment, or content that is violent, hateful, or otherwise prohibited by law.

5. User content and AI output

  • You retain ownership of the content you submit ("User Content"). You grant Ozyra a worldwide, non-exclusive, royalty-free license to host, process, display, and transmit User Content as needed to provide, secure, debug, and improve the Services.
  • You are responsible for the legality and accuracy of your User Content. Remove any content that violates these Terms or applicable law.
  • User Content may include prompts, messages, files, images, notebooks, extracted document text, embeddings, generated images, feedback, and settings you choose to sync.
  • Subject to applicable law and third-party provider terms, you may use AI outputs for your personal or commercial purposes. You are responsible for reviewing outputs before use and for ensuring they do not infringe rights or violate law.
  • AI-generated responses may be inaccurate, incomplete, or outdated and are not professional advice (legal, medical, financial, etc.). Always verify important information.

6. Intellectual property

Ozyra and its licensors retain all rights, title, and interest in the Services, including software, UI, and underlying technology. Except for the limited rights expressly granted to you, no other rights are granted.

7. Feedback

If you provide feedback or suggestions, you grant us a royalty-free, worldwide, perpetual license to use them without restriction or obligation.

8. Third-party services and providers

  • We route requests via OpenRouter to AI model providers including Google (Gemini), OpenAI (GPT), Anthropic (Claude), xAI (Grok), DeepSeek, Meta (Llama), Mistral, Moonshot (Kimi), MiniMax, and Zhipu (GLM). Their terms and data-handling practices apply when they process your prompts.
  • Image generation, embeddings, reranking, web search, and document retrieval may send prompts, files, document excerpts, images, search queries, and related metadata to OpenRouter, model providers, Tavily, and other selected feature providers.
  • If you use your own API keys or tokens, requests go directly to Anthropic, OpenAI, Google, GitHub Models, GitHub Copilot, Tavily, or other supported providers under their respective terms. You are responsible for your keys, provider accounts, costs, quotas, and provider-side settings.
  • We use Supabase for authentication, data storage, storage, realtime, and sync; Vercel for hosting, analytics, and performance measurement; Stripe for payments; Google for OAuth; and GitHub for GitHub device/Copilot flows. Your use of those services may be subject to their terms.

9. Billing, renewals, and refunds

  • Charges are processed by Stripe; we do not store your full payment details.
  • Subscriptions renew automatically unless canceled before the renewal date.
  • If a payment fails, we may suspend or limit access until resolved.
  • Quotas, usage points, model availability, and feature access may vary by plan, provider cost, region, abuse controls, and third-party availability.
  • Refund requests should be submitted to support; eligibility depends on applicable law and specific circumstances.

10. Privacy and data

Our Privacy Policy describes how we collect, use, and share information, including local-first browser storage, cookies, sync, AI providers, web search, documents, images, and billing. See our Security Policy for security measures.

11. Suspension and termination

  • You may stop using the Services at any time and may delete your account in settings.
  • We may suspend or terminate access for violations of these Terms, legal requirements, or to protect the Services or other users.
  • Upon termination, your right to use the Services ends, but sections that by nature should survive (e.g., IP ownership, disclaimers, limitations of liability) will continue.
  • Deletion and termination are subject to legally required retention, provider retention, backup expiry, billing records, and safety/security needs described in the Privacy Policy.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OZYRA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You agree to indemnify and hold Ozyra harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Services, or your violation of these Terms or applicable law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-product notice. Continued use after changes become effective constitutes acceptance.
